This MUJI U.S.A. Gift Card Terms and Conditions Policy (the “Terms”) describes the terms and conditions that apply to the purchase, acceptance and use of the MUJI U.S.A gift cards (collectively, “MUJI Gift Cards”). By purchasing, accepting, or using a MUJI Gift Card, you intend and agree to be legally bound by these Terms. If additional terms or conditions are available with or applicable to MUJI Gift Cards, then those additional terms become part of your agreement with us if you use MUJI Gift Cards. You may wish to print or save a local copy of the Terms for your records.

YOU ACKNOWLEDGE AND AGREE THAT THESE TERMS LIMIT OUR LIABILITY AND THAT YOU ARE RELEASING US FROM VARIOUS CLAIMS IN SECTIONS 11 AND 12 BELOW. THESE TERMS ALSO CONTAIN A BINDING ARBITRATION PROVISION IN SECTION 18 THAT AFFECT YOUR RIGHTS UNDER THESE TERMS WITH RESPECT TO MUJI GIFT CARDS.

MUJI Gift Cards present the joy of choosing a personalized gift. It is perfect for various occasions in life, whether it's a friend or loved one's birthday, wedding, or baby shower. Delight friends and family with the MUJI Gift Card that can be used to purchase their favorite MUJI merchandise at MUJI U.S.A retail stores and online at muji.us.

You can purchase a MUJI Gift Card by visiting any MUJI U.S.A retail store and online at muji.us.

MUJI U.S.A does not charge any fees for the issuance, activation and use of your MUJI Gift Card. The MUJI Gift Card does not expire.

You can check the balance of your MUJI Gift Card at MUJI U.S.A retail stores, by contacting our Customer Service Department at help@muji.com, or by viewing your balance on the Balance Checker. Please note that when you make a purchase online or in stores, the balance on your MUJI Gift Card adjusts immediately, however, there may be occasions when the balance update is delayed.

The Balance Checker displays the total remaining balance of all MUJI Gift Cards but not yet applied to a purchase. Purchases are deducted from your MUJI Gift Card balance. If a purchase exceeds the balance of your MUJI Gift Card balance, the remaining amount must be paid by you with another payment method.

When you use your MUJI Gift Card at a MUJI U.S.A retail store, you will receive a receipt of your Gift Card balance. The receipt will indicate that the purchase was made using a MUJI Gift Card and will provide the remaining balance information of your MUJI Gift Card.

MUJI Gift Cards may only be redeemed toward the purchase of eligible goods and services sold at MUJI U.S.A retail store locations in the U.S., or online at muji.us.

Eligible goods and services are subject to change in our sole discretion. A MUJI Gift Card is to be treated like cash and can be utilized in any MUJI U.S.A retail stores and online at muji.us

The MUJI Gift Card is non-transferable, non-refundable and cannot be exchanged or redeemed for cash (except where required by law), credits, vouchers or coupons.

MUJI U.S.A reserves the rights to correct the balance of your MUJI Gift Card if we believe that a clerical, billing or accounting error has occurred.

A MUJI Gift Card cannot be reloaded; resold; used for payment outside of any MUJI U.S.A retail stores and online at muji.us; transferred for value; used for unauthorized advertising, marketing, sweepstakes, promotional or commercial purposes, including to facilitate the resale of shipment of goods and services from any MUJI U.S.A retail store and online at muji.us; redeemed for more than face value; returned for a cash refund(except to the extent required by law; or used in a manner otherwise prohibited by these Terms. The MUJI Gift Card is deemed void if used in a manner that violates the limitations outlined in this section. Neither your MUJI Gift Card nor the balance on your MUJI Gift Card may be applied to the purchase of goods and services at any MUJI-affiliated store outside of the United States

There are certain restrictions in connection with the use of MUJI Gift Cards. If you engage in these activities, MUJI U.S.A. may prevent you from claiming or redeeming MUJI Gift Cards or may take further action on your account without a refund. You may not:

• Sell or exchange a MUJI Gift Card for cash or for any other prepaid payment instrument.
• Purchase a MUJI Gift Card from an unauthorized third party as we cannot guarantee that they are legitimate.
• Use a gift card as payment for orders placed for commercial reasons (that is, sourcing inventory online). In other words, you may not use our MUJI Gift Cards to fulfill sales or fund purchases that you are making with the intent of reselling or exporting the goods or services.
• Use a MUJI Gift Card to purchase certain ineligible goods and services.
• Use a MUJI Gift Card for any illegal or unauthorized purpose.

The list of prohibited activities above is not intended to be a complete or exhaustive list of all prohibited activities. Engaging in any activity that, in our sole discretion, disrupts, or is harmful to our customers, reputation, goodwill, business, or operations is prohibited. Engaging in any prohibited activities, or using a MUJI Gift Card in violation of these Terms may result in our taking action(s) against you. It includes, but is not limited to, preventing you from claiming or redeeming MUJI Gift Cards, revoking MUJI Gift Card balances, or closing your account consistent with these Terms.

The ownership and risk of loss of MUJI Gift Cards pass to the purchaser upon the completion of the transaction of the MUJI Gift Card to the purchaser or designated recipient. MUJI Gift Cards must be obtained from MUJI U.S.A, and you are responsible for safeguarding your MUJI Gift Card and any balance on your MUJI Gift Card from unauthorized use.

MUJI U.S.A is not responsible for any lost or stolen MUJI Gift Card. The MUJI Gift Card and the value of the MUJI Gift Card will not be replaced if the MUJI Gift Card is lost, stolen, altered or destroyed, or if your MUJI Gift Card or any balance on your MUJI Gift Card is used without your permission. If you suspect that someone has stolen your MUJI Gift Card, please contact our Customer Service Department at help@muji.com immediately.

Your MUJI Gift Card is to be treated as cash for purchases from MUJI Stores and you are responsible for all transactions associated with your MUJI Gift Card, including unauthorized transactions. MUJI U.S.A. is not responsible for, and assumes no liability to you for, any unlawful conduct or fraud by any third party associated with any MUJI Gift Card.

If you need assistance with any aspect of your MUJI Gift Card, including but not limited to the purchase, ownership, or use of your MUJI Gift Card, please contact our Customer Service Department at help@muji.com. Further information such as your Gift Card number is required for checking.

By using a MUJI Gift Card you agree to comply with these Terms, and not to use a MUJI Gift Card in any manner that is misleading, deceptive, unfair, or otherwise harmful to MUJI U.S.A., its affiliates, or its customers. We reserve the right, without notice to you, to void MUJI Gift Cards (including as a component of the balance on your MUJI Gift Card) without a refund, suspend or terminate customer accounts, suspend or terminate the ability to use our services, cancel or limit orders, and bill alternative forms of payment if we suspect that a MUJI Gift Card is obtained, used, or applied to a MUJI U.S.A. account (or the balance on your MUJI Gift Card is applied to a purchase) fraudulently, unlawfully, or otherwise in violation of these Terms.

OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS, NEITHER MUJI U.S.A. NOR ITS LICENSORS, SUPPLIERS, ADVERTISERS, OR DISTRIBUTORS MAKE ANY SPECIFIC PROMISES ABOUT MUJI GIFT CARDS. FOR EXAMPLE, WE DON’T MAKE ANY COMMITMENTS ABOUT THE MUJI GIFT CARDS OR THE BALANCE ON YOUR MUJI GIFT CARD, THE SPECIFIC FUNCTIONS OF THE MUJI GIFT CARD, OR THE RELIABILITY OR AVAILABILITY OF THE MUJI GIFT CARD, OR THE ABILITY OF THE MUJI GIFT CARD TO MEET YOUR NEEDS.  WE ALSO DO NOT MAKE ANY WARRANTIES OR COMMITMENTS RELATING TO NON-INFRINGEMENT, FREEDOM FROM VIRUSES OR OTHER HARMFUL CODE, OR ERROR-FREE OR UNINTERRUPTED OPERATIONS IN CONNECTION WITH THE MUJI GIFT CARDS.  WE PROVIDE THE MUJI GIFT CARDS AND ALL INFORMATION PROVIDED THROUGH THE MUJI GIFT CARDS “AS-IS.”

TO THE EXTENT NOT PROHIBITED BY LAW, MUJI U.S.A. (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) AND OUR LICENSORS, SUPPLIERS, ADVERTISERS, AND DISTRIBUTORS, WILL NOT BE RESPONSIBLE FOR LOST PROFITS, REVENUES, OR DATA, FINANCIAL LOSSES OR INDIRECT, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

TO THE EXTENT NOT PROHIBITED BY LAW, THE TOTAL LIABILITY OF MUJI U.S.A. (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) AND OUR LICENSORS, SUPPLIERS, ADVERTISERS, AND DISTRIBUTORS, FOR ANY AND ALL CLAIMS UNDER THESE TERMS OR RELATING TO YOUR USE OF THE MUJI GIFT CARD, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO THE AMOUNT YOU PAID US TO USE THE MUJI GIFT CARD (OR, IF WE CHOOSE, TO SUPPLY YOU THE MUJI GIFT CARD AGAIN).

IN ALL CASES RELATING TO PROVIDING YOU THE MUJI GIFT CARD, MUJI U.S.A. (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) AND ITS LICENSORS, SUPPLIERS, ADVERTISERS, AND DISTRIBUTORS, WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE OR THAT IS DUE TO EVENTS OUTSIDE OF OUR REASONABLE CONTROL, SUCH AS WARS, CRIMINAL ACTIVITIES, STORMS, DELAYS (INCLUDING, BUT NOT LIMITED TO, DELAYS SHIPPING THE PRODUCTS, OR FAILURES OR DELAYS OF COMMON CARRIERS), PUBLIC HEALTH EMERGENCY, NATURAL DISASTERS, ACTS OF GOVERNMENT, SUPPLY INTERRUPTIONS, OR TELECOMMUNICATION OR INTERNET FAILURES.

You hereby agree to indemnify, defend, and hold harmless MUJI U.S.A., its affiliated companies, and its and their predecessors, successors, and assigns, and its and their respective directors, officers, employees, agents, representatives, partners, and contractors from and against all claims, losses, expenses, damages and costs (including, but not limited to, reasonable attorneys' fees), resulting from or arising out of your actual or alleged breach of these Terms, or your use or misuse of the MUJI Gift Card.  However, you will not be responsible for claims, damages, and costs which are found by a court of competent jurisdiction to have arisen solely from our violation of applicable law.

Our privacy policy  explains how we treat your personal information and protect your privacy when you use the MUJI Gift Card. By using the MUJI Gift Card, you agree that we can collect data from you as described in our privacy policy. We obtain and store your personal information and order data for the sole purpose of processing and handling the purchase of MUJI Gift Card. By providing us with your personal information, you also consent to our collection, use and disclosure of your personal information for the purpose set out above. Unless we have obtained your consent, we will not use the information collected for other purposes.

MUJI U.S.A may suspend or terminate these Terms at any time by giving you reasonable prior notice. We need not, however, give you notice where we have serious grounds for considering that immediate termination is required (e.g. if we reasonably suspect fraudulent or unauthorized use of the MUJI Gift Card). If we terminate these Terms in circumstances where it is determined you are not in breach of these Terms, we will refund or issue store credits equal to the balance held in your MUJI Gift Card account less any amounts that you owe us. Eligible goods and services are subject to change in our sole discretion. Redemption of MUJI Gift Cards at any affiliated property is subject to change in our sole discretion.

We may modify these Terms or any additional terms that apply to MUJI Gift Cards for any reason, for example, to reflect changes to the law or changes to MUJI Gift Cards. You should look at these Terms regularly and the “Last Updated” date at the beginning of these Terms.  We’ll use reasonable efforts to give you notice of these modifications, such as posting notice of modifications to these Terms on this web page, or via email.

The laws of the United States and the State of New York, excluding New York’s conflict of laws rules, will apply to any disputes arising out of or relating to these Terms or the MUJI Gift Card.

a. Purpose. Any and all Disputes (as defined below) involving you and MUJI U.S.A. will be resolved through individual arbitration. In arbitration, there is no judge or jury and there is less discovery and appellate review than in court. This Section 18 (the "Arbitration Provision") shall be broadly interpreted. Notwithstanding anything to the contrary in these Terms, this Section 18 does not apply to an action by either party to enjoin the infringement or misuse of its intellectual property rights, including copyright, trademark, patent or trade secret rights.

b. Definitions. The term "Dispute" means any claim or controversy related to the MUJI Gift Card, including but not limited to any and all: (1) claims for relief and theories of liability, whether based in contract, tort, fraud, negligence, statute, regulation, ordinance, or otherwise; (2) claims that arose before these Terms or any prior agreement; (3) claims that arise after the expiration or termination of these Terms; and (4) claims that are currently the subject of purported class action litigation in which you are not a member of a certified class.  As used in this Arbitration Provision, "MUJI U.S.A." means MUJI U.S.A. and any of its predecessors, successors, assigns, parents, subsidiaries and affiliated companies and each of their respective officers, directors, employees and agents, and “you” means you and any users or beneficiaries of your access to the MUJI Gift Card.

c. Initiation of Arbitration Proceeding/Selection of Arbitrator. The party initiating the arbitration proceeding may open a case with JAMS, formerly Judicial Arbitration and Mediation MUJI Gift Card, Inc., (“JAMS”) by visiting its website (www.jamsadr.com) or calling its toll-free number (1-800-352-5267). You may deliver any required or desired notice to MUJI U.S.A. by email to help@muji.com.

d. Right to Sue in Small Claims Court. Notwithstanding anything in this Arbitration Provision to the contrary, either you or MUJI U.S.A. may bring an individual action in a small claims court in the area where you access the MUJI Gift Card if the claim is not aggregated with the claim of any other person and if the amount in controversy is properly within the jurisdiction of the small claims court.

e. Arbitration Procedures. This Arbitration Provision shall be governed by the Federal Arbitration Act. Arbitrations shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures (the “JAMS Rules”) as modified by the version of this Arbitration Provision that is in effect when you notify MUJI U.S.A. about your Dispute. You can obtain the JAMS Rules from the JAMS by visiting its website (www.jamsadr.com) or calling its toll-free number (1-800-352-5267). If there is a conflict between this Arbitration Provision and the rest of these Terms, this Arbitration Provision shall govern. If there is a conflict between this Arbitration Provision and the JAMS rules, this Arbitration Provision shall govern. If JAMS will not administer a proceeding under this Arbitration Provision as written, the parties shall agree on a substitute arbitration organization. If the parties cannot agree, the parties shall mutually petition a court of appropriate jurisdiction to appoint an arbitration organization that will administer a proceeding under this Arbitration Provision as written applying the JAMS Rules. A single arbitrator will resolve the Dispute. Unless you and MUJI U.S.A. agree otherwise, any arbitration hearing will take place in New York, NY. The arbitrator will honor claims of privilege recognized by law and will take reasonable steps to protect customer account information and other confidential or proprietary information. The arbitrator shall issue a reasoned written decision that explains the arbitrator’s essential findings and conclusions. The arbitrator’s award may be entered in any court having jurisdiction over the parties only if necessary for purposes of enforcing the arbitrator’s award. An arbitrator’s award that has been fully satisfied shall not be entered in any court.

f. Waiver of Class Actions and Collective Relief. THERE SHALL BE NO RIGHT OR AUTHORITY FOR ANY CLAIMS TO BE ARBITRATED OR LITIGATED ON A CLASS ACTION, JOINT OR CONSOLIDATED BASIS OR ON BASES INVOLVING CLAIMS BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC (SUCH AS A PRIVATE ATTORNEY GENERAL), OTHER SUBSCRIBERS OR USERS, OR OTHER PERSONS. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT INDIVIDUAL PARTY’S CLAIM. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.

g. Arbitration Fees and Costs. If your claim seeks more than $75,000 in the aggregate, the payment of the JAMS fees and costs will be governed by the JAMS Rules. If your claims seek less than $75,000 in the aggregate, the payment of the JAMS fees and costs will be MUJI U.S.A.’s responsibility. However, if the arbitrator finds that your Dispute was frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), the payment of the JAMS’s fees and costs shall be governed by the JAMS Rules and you shall reimburse MUJI U.S.A. for all fees and costs that were your obligation to pay under the JAMS Rules. You may hire an attorney to represent you in arbitration. You are responsible for your attorneys’ fees and additional costs and may only recover your attorneys’ fees and costs in the arbitration to the extent that you could in court if the arbitration is decided in your favor. Notwithstanding anything in this Arbitration Provision to the contrary, MUJI U.S.A. will pay all fees and costs that it is required by law to pay.

h. Severability and Waiver of Jury Trial. If any part of subsection (f) of this Arbitration Provision is found to be illegal or unenforceable, the entire Arbitration provision will be unenforceable and the Dispute will be decided by a court. WHETHER IN COURT OR IN ARBITRATION, YOU AND MUJI U.S.A. AGREE TO WAIVE THE RIGHT TO A TRIAL BY JURY TO THE FULLEST EXTENT ALLOWED BY LAW. If any other clause in this Arbitration Provision is found to be illegal or unenforceable, that clause will be severed from this Arbitration Provision and the remainder of this Arbitration Provision will be given full force and effect.

i. Continuation. This Arbitration Provision will survive the termination or expiration of these Terms.
